Purchase order terms
Last updated October 12, 2026
These standard terms form part of every purchase order issued by SB eCommerce Solutions Private Limited (the “Buyer”) to a supplier (the “Supplier”), and are printed as an annexure to the order. Conditions written on the face of a particular purchase order prevail over these standard terms where they differ.
-
Acceptance
Acknowledge this order in writing within 3 working days. Commencing supply against it constitutes acceptance of these terms in full. Terms printed on the Supplier's own acknowledgement or invoice do not apply unless separately agreed in writing.
-
Price
Prices are firm for the duration of this order and inclusive of packing, marking and loading unless stated otherwise. No charge not shown on the face of this order is payable.
-
Quantity
Deliver the ordered quantity. Over-supply beyond any tolerance stated on the face of this order is at the Supplier's risk and may be returned at the Supplier's cost.
-
Delivery
Time is of the essence. Deliver to the consignee address shown, within the delivery date stated. Notify the Buyer in writing as soon as a delay is foreseen; notification does not by itself extend the date.
-
Packing & Marking
Pack so as to reach the consignee undamaged. Mark every carton with this PO number, the SKU, the quantity and the batch. Unmarked goods may be refused.
-
Inspection & Rejection
Goods are subject to inspection on receipt notwithstanding any prior inspection or payment. Rejected goods will be held at the Supplier's risk and must be collected within 15 days of notice, failing which they may be returned at the Supplier's cost.
-
Quality & Warranty
Goods must conform to the specification, drawings and approved samples, be free from defects in material and workmanship, and be fit for the purpose made known to the Supplier. This warranty runs for 12 months from delivery and survives inspection, acceptance and payment.
-
GST & Invoicing
Raise a tax invoice compliant with the CGST/SGST/IGST Acts quoting this PO number, the HSN code and the correct place of supply. Report the invoice in your GSTR-1 within the statutory period. Input tax credit denied to the Buyer because of the Supplier's non-compliance is recoverable from the Supplier.
-
MSME Status
Notify the Buyer in writing of your registration status under the MSMED Act, 2006 and of any change to it. The payment term stated on the face of this order applies accordingly.
-
Tooling & Intellectual Property
Tooling, moulds, drawings, artwork and specifications supplied or paid for by the Buyer remain the Buyer's property, must be used solely for the Buyer's orders, and must be returned on demand. The Supplier acquires no right in the Buyer's marks or designs.
-
Confidentiality
Treat this order, its prices and any information disclosed under it as confidential. Do not disclose them to a third party or use them for any other customer without the Buyer's written consent.
-
Forecast Blanket orders only
Quantities shown in the schedule as forecast are planning information given so that the Supplier may plan capacity. They are not an order, create no commitment to purchase, and confer no liability on the Buyer for material bought against them unless the Buyer has separately agreed otherwise in writing. Only quantities shown as firm are ordered.
-
Amendment & Cancellation
No amendment to this order is effective unless issued in writing by the Buyer. The Buyer may cancel any part not yet despatched, paying the Supplier's reasonable committed cost properly incurred up to the date of cancellation.
